1. The JUSTRA Platform
JUSTRA is a business compliance intelligence platform that helps Nigerian businesses track regulatory obligations, generate NRS-compliant invoices and receipts, calculate VAT and Withholding Tax, manage compliance documents, store regulatory certificates, and access sector-specific compliance rules under the Nigeria Tax Act 2025 and related legislation.
2. Eligibility
You must be at least 18 years old and legally authorised to operate or represent the business you register on JUSTRA. By registering, you confirm that: (a) the information you provide is accurate and complete; (b) you have authority to bind your business to these Terms; and (c) your use of JUSTRA does not violate any applicable law.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@justra.ng if you suspect any unauthorised access to your account. We may suspend accounts we reasonably believe have been compromised or are being used fraudulently.
Each account is personal to the registered user. You may add team members within the limits of your subscription plan; those members must also agree to these Terms.
4. Subscription Plans and Payment
4.1 JUSTRA offers paid subscription plans (Sole Starter, Sole Trader, Business, Growth, and Enterprise) plus one-time business registration services. Current prices are listed at justra.ng/pricing and are inclusive of applicable taxes unless stated otherwise.
4.2 Prices may be updated with 30 days' notice. Price changes do not apply retroactively to a billing period already paid.
4.3 All payments are processed by Paystack Payments Limited, a CBN-licensed payment processor. By making a payment, you also agree to Paystack's terms of service. JUSTRA does not store your card details.
4.4 Subscriptions renew automatically at the end of each billing period (monthly, quarterly, or annual) unless you cancel before the renewal date via your account settings.
4.5 All subscription fees are non-refundable. Cancelling your plan stops future charges; you retain access until the end of the current billing period.
4.6 If a payment fails, we will notify you and grant a 7-day grace period to resolve the issue. After that period, we may downgrade or suspend your account until payment is settled.
4.7 One-time registration service fees (CAC Business Name, Limited Company, TIN, NSITF, and similar government filings) are non-refundable once your application has been submitted to the relevant government authority. Government fees collected on your behalf and disbursed to CAC, NRS, or other regulatory bodies cannot be recovered once paid, regardless of the outcome of the application. JUSTRA's own service charge for processing your registration is equally non-refundable once work has commenced.
5. Free Trial
New accounts on eligible plans receive a 7-day free trial. No payment is required during the trial period. If you do not cancel before the trial expires, you will be charged the applicable plan fee. You may use the trial only once per business; creating multiple accounts to repeatedly access free trials is a breach of these Terms.
6. Your Data and Content
You own all data, documents, invoices, and other content you upload to or create on JUSTRA (“Your Content”). By uploading content, you grant JUSTRA a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely to provide the platform services to you. This licence ends when you delete the content or close your account.
We do not claim ownership of Your Content and will not use it for any purpose beyond providing you with the platform services and improving the platform's features (using anonymised, aggregated data only).
7. Acceptable Use
You agree not to:
- upload false, misleading, or fraudulent business information or documents;
- use JUSTRA to facilitate tax evasion, money laundering, or any unlawful purpose;
- attempt to reverse-engineer, decompile, or copy any part of the JUSTRA platform;
- use automated scripts or bots to scrape, extract, or bulk-download data from the platform;
- interfere with or attempt to compromise the platform's security, servers, or networks;
- share your login credentials with anyone other than team members authorised under your plan;
- use the platform in a way that violates any applicable Nigerian law or regulation.
We reserve the right to suspend or terminate accounts that breach these rules without prior notice.
8. Intellectual Property
All rights in the JUSTRA platform — including its software, design, trade marks, compliance rules engine, sector-specific rules database, and all content generated by JUSTRA (compliance scores, risk analysis, sector rules) — belong to SERIALSETS LIMITED or its licensors. Nothing in these Terms transfers ownership of these rights to you. You receive a limited, non-exclusive, non-transferable licence to use the platform for your own internal business purposes.
9. Third-Party Services
JUSTRA integrates with third-party services including Paystack, Supabase, and ZeptoMail. Your use of these services is subject to their own terms and privacy policies, which we encourage you to review. JUSTRA is not responsible for outages, data loss, or policy changes by third-party providers.
10. Data Protection
We process your personal data in accordance with our Privacy Notice and the Nigeria Data Protection Act 2023. Where you use JUSTRA to process personal data of your own clients (for example, their names and TINs on invoices), you are the data controller for that client data and JUSTRA acts as your data processor — our Data Processing Agreement governs that relationship and forms part of these Terms.
11. Disclaimer of Warranties
JUSTRA is provided “as is” and “as available”. To the fullest extent permitted by law, we do not warrant that:
- the platform will be available at all times or free from errors or interruptions;
- compliance information on the platform is exhaustive, up to date, or constitutes legal advice;
- your use of JUSTRA will guarantee regulatory compliance or prevent penalties;
- the platform will be compatible with all devices or operating systems.
Tax laws and regulatory requirements change frequently. Always verify your specific obligations directly with NRS, CAC, or a qualified tax adviser.
12. Limitation of Liability
To the maximum extent permitted by Nigerian law, SERIALSETS LIMITED and its directors, employees, and agents shall not be liable for:
- any indirect, consequential, special, or punitive loss;
- loss of profits, revenue, business opportunity, goodwill, or data;
- regulatory penalties, fines, or enforcement actions imposed by NRS, CAC, or any authority;
- losses arising from reliance on JUSTRA's compliance information without independent verification;
- third-party service outages or failures (Paystack, Supabase, ZeptoMail, Netlify).
Our total aggregate liability for any claim arising from your use of JUSTRA shall not exceed the total fees you paid to JUSTRA in the 12 months before the event giving rise to the claim, or ₦50,000 — whichever is greater.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded under Nigerian law.
13. Indemnification
You agree to indemnify, defend, and hold harmless SERIALSETS LIMITED and its directors, employees, agents, and legal partners from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) Your Content; (c) your violation of any law or third-party right; or (d) any claim that your use of JUSTRA caused harm to a third party.
14. Suspension and Termination
We may suspend or terminate your account if you: breach these Terms; fail to pay subscription fees after the grace period; provide false information at registration; or if we are required to do so by law or court order.
You may cancel your account at any time from your account settings or by emailing hello@justra.ng. Upon termination, we will retain your data for 30 days (giving you time to export it) before permanent deletion, subject to our legal retention obligations set out in the Privacy Notice.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you by email and display a prominent notice in the platform at least 14 days before material changes take effect. Continued use of JUSTRA after the effective date constitutes acceptance of the updated Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria.
If a dispute arises from these Terms or your use of JUSTRA, the parties will first attempt to resolve it through good-faith negotiation for a period of 30 days. If the dispute is not resolved in that period, it shall be referred to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
